This is for the short-term, one-off type of arrangement between a business consultant and small business client. As such, it was written to be SHORT + SWEET! 1. Framework for limiting the scope of services to only what is specifically agreed-upon.

2. Terms relating to payment, invoice, no refunds, and no guarantees.

3. Ownership and licensing of intellectual property created by the consultant.

4. Termination rights for the consultant, if needed, to cancel the agreement.

5. Indemnity protection for consultant for liabilities arising out of client’s use of the services.

6. Consultant’s choice of law and venue (to reduce chances you could be sued in another state)!
